Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Tribunal OS case management software and website (the "Service") operated by Tribunal OS ("us," "we," or "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Tribunal OS provides a cloud-based case management system designed for Catholic diocesan marriage tribunals. The Service includes features for case tracking, document management, workflow automation, online questionnaires, and related functionality to support tribunal operations.
3. Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.
You are responsible for safeguarding your password and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Diocese administrators are responsible for managing user accounts within their diocese and ensuring appropriate access levels are assigned.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
- Use the Service to transmit any malicious code, viruses, or harmful data
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Share your account credentials with unauthorized individuals
- Use the Service for any purpose other than legitimate tribunal operations
5. Data Ownership and Responsibility
Your Data: You retain all rights to the data you enter into the Service. Your diocese owns its case data, and we process it on your behalf to provide the Service.
Data Accuracy: You are responsible for the accuracy and completeness of data entered into the Service. We are not responsible for any errors or omissions in your data.
Canonical Responsibility: The Service is a tool to assist tribunal operations. All canonical decisions, judgments, and processes remain the responsibility of the tribunal and its personnel. We do not provide legal or canonical advice.
6. Intellectual Property
The Service and its original content (excluding data provided by users), features, and functionality are and will remain the exclusive property of Tribunal OS. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.
7. Subscriptions and Payment
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify subscription fees upon reasonable notice.
If payment fails, we may suspend access to the Service until payment is received. You remain responsible for any uncollected amounts.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance.
9. Limitation of Liability
To the maximum extent permitted by law, Tribunal OS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the Service. Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that the Service will be uninterrupted, timely, secure, or error-free.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tribunal OS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another.
12. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.
Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may contact us to request account deletion.
Upon termination, we will provide a reasonable period for you to export your data, after which your data may be deleted in accordance with our data retention policies.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Iowa, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tribunal OS regarding the Service and supersede any prior agreements.
